Setting up as a sole trader

We file the start-up notification for a sole trader (toiminimi) and the necessary tax registrations. We also tell you when you need self-employed persons' pension insurance (YEL).

Setting up as a sole trader

What does the service mean?

A sole trader (toiminimi), or private trader, is the simplest way to start a business. The entrepreneur is personally liable for the business's commitments with all of their assets, and the business is not a separate legal person from the entrepreneur.

A sole trader is registered by filing a start-up notification in the Business Information System (YTJ). At registration, entries in the prepayment register (ennakkoperintärekisteri: customers do not withhold tax from your invoices) and the VAT register (arvonlisäverovelvollisten rekisteri) are applied for where needed. Once the entrepreneur's earned income exceeds the statutory minimum, the entrepreneur must take out self-employed persons' pension insurance (YEL).

A sole trader's profit is taxed as part of the entrepreneur's personal taxation. It is divided into capital income and earned income, which are taxed differently.

Who is the service for? People starting out on their own whose business is small to begin with or carries relatively little risk.

Questions

Frequently asked

Can a sole trader later become a limited company?

Yes. The business can be transferred to a limited company when it makes financial sense. The transfer has its own tax rules.

Does a sole trader need a separate bank account?

The law does not always require one, but a separate account makes bookkeeping much clearer.
